Terms of Service

These Terms of Service ("Terms") govern your access to and use of martialsol.com and the MartialSol AI Receptionist Service (the "Service") operated by Martial Solutions LLC ("Company," "we," "us," or "our").

By subscribing to, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of yourself or your business. The Service is intended for business owners and operators, not consumers. By accepting these Terms, you represent that you meet these requirements.

2. Service Description

MartialSol provides an AI-powered phone receptionist service that:

  • Answers inbound calls on behalf of your business using AI voice technology
  • Books appointments and manages your calendar
  • Sends follow-up SMS and email communications to your customers
  • Provides transcripts, call summaries, and reporting
  • Optionally provisions your account through The Architect, our voice-based onboarding assistant

Service features vary by subscription tier (Starter, Growth, Enterprise). Features not included in your selected tier are not available unless you upgrade.

3. Accounts and Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.2 Account Security

You must notify us immediately at support@martialsolutions.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized account use when you have failed to keep your credentials secure.

3.3 One Account Per Business

Each business entity requires its own subscription account. You may not share accounts across multiple business locations without an applicable multi-location plan.

4. Subscription Plans and Payment

4.1 Plans and Pricing

The Service is offered on a monthly subscription basis. Enterprise plans are custom-priced based on scope and include a onboarding/integration fee. Contact us via the application form for enterprise pricing.

4.2 Billing

Subscriptions are billed monthly in advance on the day you subscribe. All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method on a recurring basis.

4.3 Late Payments and Failed Charges

If a payment fails, we may retry the charge and/or suspend your Service until payment is received. You are responsible for maintaining a valid payment method on file.

4.4 Taxes

Prices do not include applicable sales, use, or similar taxes. You are responsible for all taxes applicable to your subscription.

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting support@martialsolutions.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the paid period.

5.2 Refunds

We do not provide prorated refunds for partial subscription periods. If you believe you have been charged in error, contact us within 30 days and we will review your claim.

5.3 Termination by Company

We may terminate or suspend your account at any time if you violate these Terms or for any other reason with 30 days' notice (or immediately if the violation involves illegal activity, fraud, or abuse of the Service or third parties).

6. Acceptable Use

You agree to use the Service only for lawful business purposes. You must not:

  • Use the Service to make unsolicited, harassing, or illegal calls or messages
  • Impersonate another person or business in a way that could deceive callers
  • Attempt to probe, scan, or test the vulnerability of our systems
  • Violate any applicable telemarketing, TCPA, CIPA, or similar regulations in your jurisdiction
  • Resell or sublicense the Service without written permission
  • Use the Service for any purpose that violates applicable law

You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations, including call recording disclosure laws in your jurisdiction.

7. Call Recording and Communications Compliance

7.1 Recording Disclosure

The Service records calls by default. You are responsible for providing legally required call recording disclosures to your customers. Some states (including California, Illinois, Florida, and others) require all-party consent for call recording. You must configure your AI receptionist greeting to include an appropriate disclosure if your customers are located in all-party consent states.

7.2 TCPA Compliance

You are responsible for ensuring that all SMS and phone communications facilitated through the Service comply with the Telephone Consumer Protection Act (TCPA) and any other applicable telecommunications regulations. You must obtain any necessary consents from your customers before sending them automated messages.

7.3 Indemnification for Compliance Failures

If we incur liability, fines, or costs due to your failure to comply with telecommunications or recording laws, you agree to indemnify and hold us harmless as described in Section 13.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference.

8.1 Your Customer Data

You retain ownership of data belonging to your customers ("Customer Data"). By using the Service, you grant us a limited license to process Customer Data solely to provide the Service. We will not use your Customer Data for our own marketing or sell it to third parties.

8.2 AI Training

De-identified and aggregated call data may be used to improve our AI models. We will not use individually identifiable Customer Data for AI training without your consent.

8.3 Data Portability

Upon request and within 30 days of account termination, we will provide a machine-readable export of your account data.

9. Intellectual Property

9.1 Our IP

We own all rights in the Service, including software, AI models, interfaces, documentation, and branding. These Terms do not grant you any ownership rights in the Service.

9.2 Feedback

If you provide us with feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose without compensation to you.

9.3 Your Content

You retain ownership of content you provide to configure the Service (e.g., your business FAQs, scripts, and branding). You grant us a license to use this content solely to operate the Service for your account.

10. Third-Party Services

The Service integrates with third-party platforms including GoHighLevel, Stripe, Retell AI, Twilio, Google Calendar, and Calendly. Your use of these integrations is also governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE SERVICE.

We do not warrant that the Service will meet your specific business requirements, that the AI will handle all calls correctly or capture all leads, that the Service will be available at all times without interruption or delay, or that any errors in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARTIAL SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Martial Solutions LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, your Customer Data or content provided to the Service, or your failure to obtain required consents for call recording or communications.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any legal claim, you agree to contact us at support@martialsolutions.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within 30 days.

14.2 Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Colorado Springs, Colorado. The arbitrator's decision will be final and binding.

Class Action Waiver: YOU AND MARTIAL SOLUTIONS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.3 Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Martial Solutions LLC regarding the Service and supersede all prior agreements.

15.2 Modifications

We may update these Terms at any time. We will notify you of material changes by email and by posting the updated Terms on martialsol.com with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, telecommunications failures, or third-party service outages.
